MARKETPLACE RULES

Preamble

These Marketplace Rules (hereinafter the "Rules") define the rules applicable to transactions between users (private individuals and professionals) on the CARTOBIKE platform. 

They supplement the General Terms and Conditions of Use (Individuals and Professionals).

Article 1 - Scope

These Regulations apply to all vehicle sales transactions (cars, bicycles, scooters) carried out via the CARTOBIKE Platform, whether they are carried out: 

  • At a fixed price
  • By auction
  • Via the Hot Deals service

Article 2 - Terms and Conditions of Sale

2.1. Choice of sales method

The seller (private individual or professional) may offer their vehicle: 

  • At a fixed price: non-negotiable price displayed in the advertisement
  • At auction: with or without a reserve price (minimum price)

2.2. Seller's commitment

Article 2.2 - Seller's commitment

By publishing an advertisement, the seller creates an offer to sell. However, the seller is NOT automatically committed to entering into a contract at the end of the auction.

2.2.1. Sales methods and commitments

The seller may offer their vehicle for sale under the following terms and conditions:

• Fixed price: desired sale price displayed in the advertisement. Buyers who accept the fixed price immediately conclude the sale (subject to availability).

• Auction without reserve price: The seller does not set a minimum price and agrees to allow bidding to start freely. The seller has a 24-hour deliberation period after the auction closes to accept or reject the best offer.

2.2.2. Deliberation period (auctions without reserve price)

When the auction closes, the highest bidder is notified by email and push notification. The seller then has a 24-hour deliberation period to:

• "Accept the offer": the transaction changes to "Reserved" status; the vehicle is blocked and the payment/delivery process begins.

• "Reject the offer": the auction is cancelled, the highest bidder is notified of the rejection, and no penalty is applied to the seller.

2.2.3. Automatic refusal in the absence of a response

If the seller does not respond within 24 hours, the offer is automatically declined. The highest bidder receives a notification informing them that the seller has not accepted the offer and that the transaction is cancelled.

In this case: • No penalty is applied to the seller. • The highest bidder may search for another vehicle.

2.2.4. Seller's obligations after acceptance

Once the seller has accepted the offer (fixed-price sale, auction with reserve price met, or auction without reserve explicitly accepted within 24 hours), they undertake to:

a) Block the vehicle for at least 5 working days

  • The seller must immediately remove the vehicle from any other sales platform.
  • The vehicle may not be sold to another buyer during this period.
  • The vehicle is reserved exclusively for the buyer who won the auction or accepted the fixed price.

b) Allow the vehicle to be inspected

  • The buyer has 5 working days to physically inspect the vehicle before finalising payment.
  • The seller must make themselves available to arrange an inspection appointment within a reasonable time frame (ideally within 48 hours maximum).
  • The seller's refusal to allow inspection constitutes a default (see Article 6.3 - Seller default).

c) Finalising the transaction

  • If the buyer approves the inspection and pays for the vehicle within 5 working days, the seller must deliver the vehicle in accordance with the agreed terms.
  • The seller must provide all documents necessary for the transaction:
    • Original registration certificate (car registration document)
    • Complete service log (if available)
    • Maintenance and repair invoices (if available)
    • Valid MOT certificate (if applicable, according to Belgian regulations)
    • Certificate of conformity (COC)
    • Vehicle keys (all available keys, including duplicates)
    • Original user manuals and accessories (if available)

d) Consequences of non-compliance with these obligations

  • Resale within 5 days: If the seller sells the vehicle to another buyer during the 5-day blocking period, they are in serious breach of contract and will incur:
    • A lump sum compensation of €250 payable to CARTOBIKE
    • Possibility of direct recourse by the aggrieved buyer for additional damages
    • Temporary or permanent suspension of the seller's account (depending on the severity and whether it is a repeat offence)
  • Refusal to deliver after payment: If the seller refuses to deliver the vehicle after full payment by the buyer (validated transfer, funds transferred), they are liable to:
    • Legal proceedings for breach of contract (Belgian Civil Code, Articles 1134 and 1184) brought by the buyer
    • Obligation to refund the price paid + damages
    • Reporting to the competent authorities (commercial fraud)

2.2.5. Contractual freedom of the seller prior to acceptance

Principle of total freedom: As long as the seller has not accepted the offer, they remain completely free to:

  • Withdraw their advertisement at any time without justification or penalty
  • Modify their selling price or conditions
  • Refuse any offer received (auctions without reserve only)
  • Not responding to offers (automatic refusal after 24 hours)

Important: No financial penalties, account suspensions or other penalties will be applied to sellers who exercise their contractual freedom before formally accepting an offer.

Article 3 - Auction System

3.1. Access to auctions

To participate in auctions, each user must first deposit a security deposit (see Article 4). 

Identity verification (photo + ID) is no longer mandatory to bid, but is still recommended to secure transactions. 

3.2. Auction procedure 

  • Duration: set by CARTOBIKE and indicated on the auction event page. 
  • Successive auctions: each new bid must be higher than the previous one (minimum increment amount displayed) 
  • Automatic closing: at the specified time or extended if bidding continues in the final minutes (anti-sniping rule) 

3.3. Reserve price (optional)

The seller may set a minimum price ("reserve price") that is not visible to buyers. 

  • If the reserve price is reached: the sale is automatically concluded with the highest bidder
  • If the reserve price is not reached: the seller is free to accept or reject the highest bid 

3.4. Restrictions for private buyers

Private individuals (non-professionals) may only bid on one vehicle at a time, until the auction closes and full payment for the vehicle has been made. 

Article 4 - Auction Deposit

4.1. Deposit requirement

In order to bid, each user must deposit a security deposit on the Platform in advance. 

A single deposit is sufficient to participate in all available auctions.

4.2. Deposit amount

The amount of the deposit is set by CARTOBIKE and may change over time. CARTOBIKE systematically communicates the applicable amount on the deposit page. 

The amount displayed at the time of deposit by the user is the amount that will be applied to them.

4.3. Blocking of the deposit

The deposit is blocked (unavailable) in the user's account as long as they meet one of the following conditions: 

  • They have the best bid on a current auction
  • Their bid has been accepted by the seller but the transaction has not been finalised (payment and delivery)

4.4. Refund of the deposit

The user may request a refund of their deposit at any time, except in the cases referred to in Article 4.3. 

The refund will be made within 7 working days to the payment method used when the deposit was made. 

4.5. Service fees

When the deposit is made, a fixed service fee is charged. This fee covers, in particular: 

  • Bank transaction fees (payment provider: Stripe or equivalent)
  • Administrative costs related to the management of deposits
  • Costs related to the management of disputes and possible mediations

Important: The deposit itself is fully refundable under the above conditions. However, service fees are retained by CARTOBIKE and are never refundable, regardless of the outcome of the auction (award, non-award, withdrawal of bid, etc.). 

This non-refundability of service fees is clearly displayed before the deposit is paid and must be expressly accepted by the user. 

4.6. Retention of the deposit in the event of default

In the event of non-compliance with their commitments by the buyer (see Article 6), the deposit may be retained in whole or in part by CARTOBIKE as a penalty, without prejudice to other remedies provided for in these Rules. 

Article 5 - Mandatory deadline for finalising the auction sale

5.1. Buyer's obligation

After the closing of a successful auction or the acceptance of an offer by the seller, the buyer has a maximum of 5 working days to: 

  • Pay for the vehicle in full in accordance with the terms agreed with the seller
  • Take delivery of the vehicle (physical collection or organisation of transport)

5.2. Calculation of the time limit

The period of 5 working days runs from the day after the auction closes or the offer is accepted by the seller. 

Saturdays, Sundays and public holidays in Belgium or France (depending on the country of the buyer and seller) are not included in this period.

5.3. Exception: written agreement of the seller

The 5-day period may only be extended with the seller's express written consent (email, message via the Platform with confirmation from the seller). 

In the absence of such consent, the 5-day period remains mandatory.

5.4. Economic justification

This strict time limit is justified by the economic model of CARTOBIKE auctions: sellers agree to reduce their prices in exchange for a quick and secure sale. 

The pricing opportunities offered to buyers (prices often below market value) are made possible by this speed of execution, which limits the amount of stock tied up for sellers. 

5.5. Penalty for non-compliance

If the buyer does not meet the 5 working day deadline: 

  • The seller may unilaterally cancel the sale without formalities.
  • The buyer's deposit is forfeited in full and retained by CARTOBIKE as a penalty 
  • This penalty applies without prejudice to the right of the seller or CARTOBIKE to claim additional damages in the event of greater loss 

Article 6 - Fixed Compensation in the Event of Default

6.1. General principle

In the event of a sale (B2C, C2C or B2B), the buyer who wins the auction must pay the accepted price within 5 working days of the close of the auction. The seller must deliver the vehicle in accordance with the agreed terms and conditions (see Article 2.2).

Failure to comply with these obligations constitutes a default resulting in the cancellation of the sale and the application of the penalties below.

6.2. Default by the buyer

6.2.1. Automatic penalties

If the buyer does not pay within 5 working days:

a) Loss of deposit

  • The deposit paid to participate in the auction will be retained permanently by CARTOBIKE.

b) Fixed compensation to the seller: €250

  • The seller may claim £250 per vehicle directly from the defaulting buyer.
  • CARTOBIKE will provide the buyer's contact details and a certificate of default, but will not handle the recovery.
  • The seller may also claim additional damages if they can prove greater loss (storage costs, loss of another sale, etc.).

6.3. Default by the seller

If the seller fails to deliver the vehicle after full payment by the buyer, or if they withdraw after accepting the offer, or provide a misleading description:

6.3.1. Penalties

a) Fixed compensation to CARTOBIKE: £250

  • The seller must pay £250 per vehicle to CARTOBIKE (default amount if not specified in the auction terms and conditions).
  • CARTOBIKE may recover this amount by debiting the seller's account, suspending the account, or taking legal action.

b) Recourse for the aggrieved buyer

  • The buyer retains the right to claim compensation directly from the seller (refund, damages).
  • CARTOBIKE may provide the seller's contact details on request, but will not intervene in this procedure.

6.4. Transmission of contact details and certificate of default

6.4.1. Data transmitted

Upon written request from the aggrieved party, CARTOBIKE will transmit the contact details of the defaulting party:

  • Email, telephone number, surname, first name, address (if provided).

6.4.2. Important limitation

CARTOBIKE does NOT guarantee the accuracy of the data transmitted. Unverified users (without a "Verified User" badge) may have provided false information (false name, false address).

The injured party alone assumes the risk associated with recovering the £250 compensation.

6.4.3. Certificate of default

CARTOBIKE may provide a certificate attesting to:

  • The closing date of the auction
  • The accepted price
  • The absence of payment or delivery within the specified time frame
  • The available contact details of the parties

This certificate constitutes legal evidence that can be used in amicable or legal proceedings.

6.5. Recommendations

To limit the risk of default:

  • Give preference to users with the "Verified User" or "Verified Pro" badge.
  • Verify the identity of your contact before any transaction.
  • Use secure and traceable payment methods.
  • Immediately report any suspicious behaviour to CARTOBIKE.

6.6. Disclaimer

CARTOBIKE acts solely as a technical intermediary. CARTOBIKE cannot be held liable for:

  • The accuracy of the data provided by users.
  • The non-recovery of the €250 compensation by the injured party.
  • For costs incurred in attempting to recover the compensation (solicitor, bailiff).
  • Damages related to the use of false identities.

Article 7 - Hot Deals Service

7.1. Principle

The Hot Deals service allows buyers to instantly reserve a vehicle selected by CARTOBIKE as an "exceptional opportunity" upon payment of a reservation fee. 

7.2. Access to the service

Access to the Hot Deals service is subject to the prior purchase of Hot Deals Credits, which are available for purchase on the Platform. 

The rates and conditions for Hot Deals Credits are displayed on the order page at the time of purchase.

7.3. How the Hot Deals service works 

7.3.1. Instant booking

The buyer pays the booking price displayed on the Hot Deals advertisement. This payment uses up the Hot Deals Credits available in their account.

The vehicle is then reserved exclusively for the buyer for a period of 48 hours.

7.3.2. Finalising the purchase

Within 48 hours, the buyer must:

• Contact the seller

• Agree on the terms of payment for the balance (Sale price - Reservation price)

• Pay the balance directly to the seller (outside the CARTOBIKE platform)

 

7.3.3. CARTOBIKE service fees (deducted from the reservation amount)

 

CARTOBIKE charges a service fee on the reservation amount paid by the buyer. These fees are clearly indicated on the Hot Deals listing creation form and vary depending on the type of listing and the price of the vehicle.

Service fee amount:

CARTOBIKE service fees are displayed excluding VAT when the advertisement is created. They are automatically deducted from the reservation amount before payment is made to the seller.

 Calculation example:

• Total sale price of the vehicle: £10,000

• Reservation amount paid by the buyer: £1,000

• CARTOBIKE service fees: £100 excluding VAT (i.e. £121 including VAT)

• Net amount paid to the seller (after delivery confirmation): €1,000 - €121 = €879

• Balance payable by the buyer directly to the seller: £10,000 - £1,000 = £9,000

 

7.3.4. Terms of payment of the balance (outside the platform)

After physically inspecting the vehicle, the buyer must pay the remaining balance (sale price - reservation amount) **directly to the seller**, outside the CARTOBIKE platform.

The means of payment for the balance are to be agreed freely between the buyer and seller (bank transfer, cash, cheque, etc.). CARTOBIKE does not intervene in this direct transaction.

Recommendation: Use secure and traceable payment methods (bank transfer) to avoid any disputes.

 

7.3.5. Confirmation of delivery and release of the reservation amount

Once the balance has been paid and at the time of delivery, the seller must click on the "delivery in progress" button in their Cartobike account. The buyer is then notified that delivery is in progress.

As soon as the vehicle is received, **the buyer must click on the "Confirm delivery" button** in their CARTOBIKE account.

This confirmation automatically triggers:

• Payment of the net reservation amount (after deduction of CARTOBIKE service fees) to the seller within 2 to 5 working days.

• The final closure of the Hot Deals transaction.

 Tacit confirmation period: If the buyer does not confirm delivery within 48 hours of paying the balance, the delivery is considered tacitly confirmed and the amount is automatically paid to the seller.

 

7.3.6. Payment deadline to the seller

After confirmation of delivery (manual or tacit), the net reservation amount (€1,000 - €121 = €879 in the example above) is paid to the seller within **2 to 5 working days**, depending on the payment method registered by the seller (SEPA bank transfer).

 

7.3.7. Disputes and mediation

If the delivered vehicle does not comply with the description (unmentioned damage, differing characteristics, etc.), the buyer may submit a dispute via the Platform (My Orders page) within 48 hours of delivery confirmation.

The dispute is forwarded to the seller, who may respond in order to seek an amicable solution (price reduction, repair, cancellation, etc.). If no amicable solution can be found, CARTOBIKE may intervene as a mediator (see Article 7.5 - Disputes and mediation).

7.3.8. Cancellation and refund

In the event of cancellation of the Hot Deals transaction (non-compliant vehicle, defaulting seller, major dispute), the reservation amount paid by the buyer is refunded in full (€1,000 in the example), **including CARTOBIKE service fees** (€121), after cancellation of the invoice.

 

7.4. Confirmation of receipt deadline

If the buyer does not click on "Confirm delivery" within 48 hours of the seller confirming delivery, the reservation fee will be automatically transferred to the seller. 

The buyer therefore has 48 hours to receive and check the vehicle and, if necessary, block the transaction in the event of non-compliance. 

7.5. Disputes and mediation 

Dispute by the buyer

The buyer may create a dispute or open a case on the platform if the vehicle does not match the description. This action must be taken exclusively from the current order page, before the buyer clicks on the "Confirm delivery" button, or at the latest within 48 hours after the seller has notified the platform that the vehicle has been delivered.

Once either of these two events has occurred, and if no dispute has been created within this time frame, the delivery is deemed to have been accepted. No dispute may be taken into account by any other means (email, telephone, message), except in the event of a proven technical malfunction preventing the dispute from being opened on the platform. In this case, the buyer must send an email tocontact@cartobike.com attaching screenshots of the problem encountered and, if possible, useful information (order number, date and time, device and browser).

At the end of this period, and in the absence of a dispute, the system will automatically transfer the funds to the seller.

Response from the seller

The dispute is forwarded to the seller, who may respond in order to seek an amicable solution (price reduction, repair, cancellation, etc.).

Mediation by CARTOBIKE

If no amicable solution is found, CARTOBIKE may intervene as a technical mediator, but does not guarantee the resolution of the dispute. CARTOBIKE reserves the right to temporarily block the payment of funds to the seller until the dispute is resolved.

Unfounded dispute

If the dispute is deemed unfounded by CARTOBIKE (after examination of the evidence), the buyer will be required to finalise the purchase. 

If no response is received within 3 working days of CARTOBIKE's decision, or in the event of an unjustified refusal to finalise the purchase, the reservation fees paid by the buyer will be retained by CARTOBIKE as a penalty. 

7.6. STRIPE account required for sellers

Professional sellers wishing to benefit from the Hot Deals service must create an account with the payment provider STRIPE (or equivalent designated by CARTOBIKE). 

The booking fee will be paid by CARTOBIKE into this STRIPE account after the transaction has been validated. 

7.7. Specific conditions

The detailed conditions applicable to the Hot Deals service (reservation price, terms and conditions, etc.) are displayed on each Hot Deals advertisement and must be expressly accepted by the buyer before booking. 

Article 8 - General Rules for All Transactions

8.1. Direct contract between seller and buyer

The sales contract is concluded directly and exclusively between the seller and the buyer. CARTOBIKE is not a party to the contract and does not intervene in the transaction. 

8.2. CARTOBIKE's liability

CARTOBIKE does not guarantee: 

  • The solvency of buyers
  • The ability of sellers to deliver
  • The conformity or quality of the vehicles sold
  • The conclusion or effective execution of transactions

CARTOBIKE's responsibility is limited to providing a technical platform for connecting users.

8.3. Obligation of good faith

The parties (seller and buyer) undertake to perform their obligations in good faith, in compliance with applicable laws and these Terms and Conditions. 

8.4. Proof of transactions

The parties are requested to keep all evidence of their exchanges and transactions (emails, messages, invoices, certificates of transfer, etc.). 

Article 9 - Reporting and Resolution of Disputes

9.1. Reporting a suspicious advertisement

Any user may report an advertisement that is suspicious, fraudulent or contrary to the rules by clicking on the "Report" button on each vehicle listing. 

9.2. Reporting inappropriate behaviour

Users may report or block another user in the event of inappropriate behaviour, harassment or attempted fraud via instant messaging. 

9.3. Processing of reports

Each report is analysed by the CARTOBIKE moderation teams. Appropriate measures are taken in the event of a proven violation (deletion of the advertisement, suspension or banning of the account, reporting to the authorities). 

9.4. Amicable dispute resolution

In the event of a dispute between the seller and the buyer, CARTOBIKE encourages the parties to seek an amicable solution first. 

9.5. Mediation

If no amicable solution can be found, the parties may request the intervention of CARTOBIKE as a mediator. CARTOBIKE reserves the right to accept or refuse this intervention, which remains optional and non-binding. 

9.6. Legal recourse

In the absence of an amicable solution or successful mediation, the parties retain the right to refer the matter to the competent courts in accordance with the rules of common law. 

Article 10 - Reviews

10.1. Rating system

After a transaction, the buyer and seller may evaluate each other and leave a public comment on their respective profiles. 

10.2. Evaluation criteria

Ratings shall focus in particular on: 

  • The quality of communication
  • Fulfilment of commitments
  • Compliance of the vehicle with the description (buyer side)
  • Promptness of payment and delivery (seller side)

10.3. Moderation of reviews

CARTOBIKE reserves the right to remove any review that is clearly defamatory, abusive, discriminatory or contrary to the rules of use. 

10.4. Responding to reviews

The user being reviewed may respond publicly to a review within 30 days. 

Article 11 - Legal Compliance and Guarantees (B2C)

11.1. Obligations of the professional seller

In the context of B2C (business-to-consumer) sales, the professional seller must comply with all consumer protection legislation, in particular: 

  • 14-day right of withdrawal (except for legal exceptions provided for by the Belgian Economic Law Code or the French Consumer Code) 
  • Legal guarantees of conformity and hidden defects
  • Complete pre-contractual information

11.2. Exception: Hot Deals service

In the context of the Hot Deals service, the consumer buyer expressly acknowledges that, pursuant to Article VI.53, 1° of the Belgian Economic Law Code, they do not have the legal right of withdrawal of 14 days. 

Justification: The reservation of a Hot Deals vehicle takes effect upon validation by the buyer and for a limited period (48 hours). The service is therefore fully performed upon payment of the reservation price by the buyer, which excludes the right of withdrawal in accordance with the law. 

11.3. Legal guarantees

Legal guarantees (conformity, hidden defects) remain fully applicable to B2C sales, including for the Hot Deals service. 

Article 12 - International Sales

12.1. Compliance with legislation

Sellers and buyers conducting international transactions (sale or purchase in another country) must comply with all applicable laws and regulations, including: 

  • Customs regulations
  • Import/export taxes
  • Technical standards of the destination country
  • Vehicle registration

12.2. Liability

CARTOBIKE is not involved in any procedures related to international sales. The parties are solely responsible for complying with legal and administrative obligations. 

Article 13 - Intellectual Property

13.1. Content of advertisements

By publishing an advertisement, the seller grants CARTOBIKE a worldwide, non-exclusive, free and transferable licence to reproduce, display and distribute the content of the advertisement on the Platform, partner sites and social networks for the purpose of promoting the Platform. 

13.2. Technical and statistical data

CARTOBIKE retains the technical and statistical data of advertisements (models, prices, mileage, etc.) beyond the publication period for statistical evaluations and their anonymised publication. 

Article 14 - Modification of the Regulations

CARTOBIKE reserves the right to modify these Terms and Conditions at any time to adapt to legal, technical or commercial developments. 

Amendments shall come into force as soon as they are posted online and shall apply to new transactions. Transactions in progress at the time of the amendment shall remain governed by the version of the Rules applicable at the time of the offer. 

Article 15 - Applicable Law and Jurisdiction

15.1. Applicable law

These Terms and Conditions are governed by Belgian law. 

15.2. Consumer mediation

Consumers may use a mediation service free of charge (contact details in the Legal Notice) before taking any legal action. 

15.3. Competent jurisdiction

In the absence of an amicable solution: 

  • For disputes between users: courts with jurisdiction under common law
  • For disputes involving CARTOBIKE: competent Belgian courts

GENERAL TERMS AND CONDITIONS OF SALE - PROFESSIONALS

Preamble

These General Terms and Conditions of Sale (hereinafter "GTC") govern the commercial relations between CARTOBIKE and professionals who subscribe to use the Platform's services. 

Article 1 - Purpose

The purpose of these GTS is to define the conditions under which CARTOBIKE provides professionals with access to the Platform's services in exchange for the payment of a subscription fee. 

Article 2 - Services Offered

2.1. Description of services

The professional subscription gives access to the following services:

  • Unlimited publication of standard advertisements (cars, bicycles, scooters)
  • Participation in auctions
  • Customisable showcase page
  • Visibility in the professional search engine
  • Multi-shop management (for professionals with multiple points of sale)
  • Advertisement management tools and statistics

2.2. Additional services

In addition to the subscription, Professionals can purchase:

  • Media/Boost Pack: Ad promotion services (sponsorship, priority positioning in results) 
  • Hot Deals credits: Access to the Hot Deals service (see Marketplace Rules)

The features and prices of these additional services are displayed on the order page at the time of purchase. 

Article 3 - Pricing

3.1. Subscription price

The professional subscription price is displayed on the subscription page at the time of ordering.

Prices are quoted in euros, excluding VAT for professionals subject to VAT. The applicable VAT will be added to the pre-tax amount at the current rate. 

3.2. Prices for additional services

The prices for Media/Boost Packs and Hot Deals Credits are displayed on the respective order pages.

CARTOBIKE reserves the right to change its prices at any time. The new prices apply to new subscriptions and renewals, with no retroactive effect on current subscriptions. 

Article 4 - Subscription

4.1. Subscription terms and conditions

Subscriptions are taken out online via the Platform in accordance with the following steps:

  1. Create a business account (see Terms and Conditions for Businesses)
  2. Select the subscription package
  3. Read the Terms and Conditions and expressly accept them by ticking the box
  4. Enter payment details
  5. Confirm your order

Confirmation of the order constitutes full and complete acceptance of these Terms and Conditions of Sale.

4.2. Payment

Payment for the subscription is made by credit card or any other means of payment offered by CARTOBIKE. 

The Professional must maintain a valid payment method registered on the Platform throughout the duration of the subscription to enable renewals. 

Article 5 - Duration and Renewal

5.1. Subscription duration

5.1.1. Choice of commitment duration

The Professional may subscribe to a subscription for one of the following durations:

• Monthly subscription: 1-month term, automatically renewable

• Annual subscription: 12-month term, automatically renewable

The choice of commitment period is made at the time of initial subscription or renewal.

5.1.2. Pricing according to duration

The applicable pricing depends on the commitment period chosen.

The current rates can be viewed on the dedicated page.

The annual subscription may be eligible for a discount compared to the cumulative monthly rate over 12 months. This discount, if applicable, is indicated at the time of subscription.

5.1.3. Start date of the subscription

The subscription takes effect immediately upon confirmation of payment.

The subscription date is used to calculate the commitment period and renewal dates.

5.1.4. Modification of the commitment period

The Professional may change the duration of their subscription (from monthly to annual or vice versa) at the next renewal date.

The change in duration must be made at least 7 days before the renewal date via the personal account:

My account > Manage my subscription > Change duration

No changes to the duration are possible during the commitment period.

 

5.1.5. Changes to the subscription offer

CARTOBIKE reserves the right to modify, suspend or cancel any of the subscription options (monthly or annual) at any time.

Any changes will be notified in advance in accordance with Article 15 (Amendment of the GTC).

Current subscriptions remain valid until their expiry date, even in the corresponding plan is discontinued.

5.2. Automatic renewal

5.2.1. Principle

The subscription is automatically renewed upon expiry (monthly or annually) by debiting the registered payment method.

5.2.2. Notification

The Professional receives an email AT THE TIME of the payment with an invoice and a link to manage the subscription. 

5.2.3. Change of recurrence

The Professional may change the frequency (monthly ↔ annually) at any time via My Account > Subscription Management.

5.2.4. Terms and conditions of the change

The change takes effect at the end of the current period. The remaining credit is used in full (no pro rata or refund).

5.2.5. Confirmation

An email will confirm the change, including the effective date and the amount of the next 

direct debit.

5.3. No minimum commitment period

The subscription is offered with no minimum commitment period. The Professional may deactivate automatic renewal at any time. 

Article 6 - Termination

6.1. Deactivation of automatic renewal

The Professional may deactivate automatic renewal at any time from their personal account:

My account > Manage my subscription > Deactivate renewal 

Deactivation must be carried out before the date of the next payment to avoid renewal. 

6.2. Strict cancellation terms

Cancellation of renewal must be done exclusively via the Professional's personal account. 

Any cancellation request sent by email, post or any other external means will not be considered valid. 

This rule is intended to avoid disputes related to late requests (e.g. messages sent a few hours before the scheduled payment date). 

6.3. Exception for technical difficulties

6.3.1. Principle: Deactivation exclusively via the interface

Deactivation must be carried out via My Account > Subscription Management.

6.3.2. Strict exception in the event of a proven technical block

In the event of a REAL technical difficulty, please contact: customer@cartobike.com 

6.3.3. Required supporting documents

The Professional MUST provide:

• Screenshot OR video of the technical problem

• Copy of the error message

• Detailed description (date, time, browser, device, steps taken)

6.3.4. Rejection of unjustified requests

Requests without technical evidence will NOT be processed.

6.3.5. Unacceptable reasons

 "I prefer email" / "I can't find it" / "No time" / "It's easier" / "Forgotten password" (reset available)

6.3.6. Support available

FAQ, live chat, password reset, other browser.

6.3.7. Processing time

48 working hours if supporting documents are provided.

6.4. Effect of deactivation

Deactivation of automatic renewal takes effect at the end of the current subscription period.

The current subscription remains payable until its expiry date, with no possibility of pro rata refund (see Article 7). 

6.5. Consequences of non-cancellation

If renewal is not deactivated before the expiry date, the subscription is automatically renewed and billed for a new period (monthly or annually, depending on the package subscribed to).

The amount billed corresponds to the initial commitment period chosen (1 month for a monthly subscription, 12 months for an annual subscription).

Article 7 - No Refunds

7.1. No refund policy

The current subscription is payable in full until its expiry date, with no possibility of pro rata refunds, in the following cases: 

  • Deactivation of renewal during the period
  • Early termination at the initiative of the Professional
  • Non-use of services

7.2. Exceptions

A refund may be considered only in the event of:

  • Prolonged technical impossibility of accessing the services attributable to CARTOBIKE (lasting more than 7 consecutive days) 
  • Proven billing error

Article 8 - Media Pack / Boost

8.1. Nature of Media Packs

8.1.1. General description

Media Packs (also known as "Boost") are services that increase the visibility of the Professional's advertisements on the Platform.

8.1.2. Detailed content at the time of purchase

The service associated with the Media Pack or Boost subscribed to is described in the summary of the pack purchased (at the time of purchase and, where applicable, in the customer area). The benefits and terms and conditions may vary depending on the pack chosen.

8.1.3. Indicative features

For information purposes, depending on the package subscribed to, the Packs may include promotional features such as:

  • Advertisement promotion in search results
  • Privileged positioning in search results
  • Display in dedicated locations (home page, specific categories)
  • Promotional badges
  • Increased visibility on certain pages or categories
  • Additional promotion on our communication channels
  • Or any other visibility mechanism

This list is not exhaustive.

8.1.4. Changes to features

Our promotion strategies, placements and display settings may evolve in order to improve the user experience and the effectiveness of the service, without this constituting a substantial modification of the package subscribed to.

8.1.5. No performance guarantee

Media Packages constitute an obligation of means and not of results. CARTOBIKE does not guarantee any specific performance (number of views, contacts received, or sales made).

8.2. Pricing

Media Pack prices are displayed at the time of purchase. They may include:

  • Prepaid packs (e.g. pack of 10 boosts)
  • Credits that can be used freely

8.3. Validity linked to active subscription

Media/Boost Packs are only valid as long as the professional account has an active subscription. If the Professional does not renew their subscription, all unused Media Packs are permanently lost, with no possibility of refund. 

8.4. Justification

This rule is justified by the technical and commercial impossibility for CARTOBIKE to promote a stock of vehicles that is not visible on the Platform (inactive account). 

8.5. Prior information

This condition of validity is clearly displayed on the Media Pack purchase page and must be expressly accepted by the Professional before purchase. 

Article 9 - Hot Deals credits

9.1. Nature of credits

Hot Deals Credits allow Professionals and Individuals to access the Hot Deals service (see Marketplace Rules for detailed information on how it works). 

9.2. Pricing and packs

Hot Deals Credit prices and packs are displayed on the order page at the time of purchase.

The characteristics of the packs (number of credits, validity) may change at any time. The Professional accepts the conditions displayed at the time of purchase. 

9.3. Validity

Hot Deals Credits are subject to a validity period displayed at the time of purchase.

Credits not used before their expiry date are permanently lost, with no possibility of refund. 

9.4. Non-refundable

Once purchased and used, Hot Deals Credits cannot be cancelled or refunded once the service has been consumed. 

If they are not used before expiry, no refund is possible.

Article 10 - Invoicing and Payment

10.1. Invoicing

10.1.1. Issuing of invoices

An invoice is issued for each payment made on the Platform (subscription, Media Pack, Hot Deals Credits, additional services).

10.1.2. Access to the invoice

The invoice is automatically sent by email to the billing address provided by the Professional at the time of payment.

The Professional can also view all of their invoices at any time from their Cartobike personal account:

My Cartobike account > Invoices

All invoices issued remain accessible as long as the account is active.

10.1.3. Invoice content

Each invoice contains:

  • The transaction reference
  • The payment date
  • Details of the services subscribed to
  • The amount including VAT
  • Legal billing information (VAT, company number, etc.)

10.2. Payment terms

10.2.1. Subscription payment

Payment for the subscription (monthly or annual) is made by direct debit from the payment method registered by the Professional.

10.2.2. Payment for additional services

Additional services (Media Pack, Hot Deals Credits, Boost, etc.) are one-off purchases and are NOT subject to automatic renewal.

Each purchase of an additional service constitutes a separate and unique transaction, invoiced at the time of order.

10.2.3. Payment notification

In the event of payment rejection, CARTOBIKE shall notify the Professional by email and suspend access to the services until the situation is rectified.

10.2.4. Late payment of subscription

In the event of late payment of the subscription:

  • Immediate suspension of access to services
  • Application of late payment interest at the legal rate in force in Belgium
  • Fixed penalty of €40 for collection costs (in accordance with Article VI.104 of the Belgian Economic Law Code)

If payment is not made within 30 days, CARTOBIKE may terminate the subscription as of right, without prejudice to any recovery action.

10.2.5. Settlement and deadline

In the event of non-regularisation within 30 days, CARTOBIKE may terminate the subscription as of right, without prejudice to any recovery action.

10.2.6. No minimum term commitment

In accordance with Article 5.3, the monthly subscription may be terminated at any time without a minimum term commitment.

However, the Professional may not request the cancellation of a direct debit or a refund for a period that has already begun if the subscription was terminated after the start of the billing period.

10.2.7. Prohibition of fraudulent bank objections

The Professional expressly undertakes not to make a fraudulent bank opposition to a legitimate direct debit corresponding to a current or already consumed subscription period.

A bank opposition is considered fraudulent if:

  • The subscription period has already begun
  • The direct debit corresponds to services actually provided and used
  • The Professional has not deactivated automatic renewal before the expiry date

10.2.8. Consequences of fraudulent bank opposition

Any unjustified bank objection exposes the Professional to the following penalties:

  • Immediate and permanent suspension of the account
  • Charging of administrative fees for fraudulent chargebacks: €50
  • Action to recover amounts due
  • Possible prosecution for attempted fraud

CARTOBIKE reserves the right to contest any fraudulent bank chargeback with the payment provider (Stripe) and the competent authorities.

10.2.9. Legitimate bank dispute

Bank objections remain possible in the following legitimate cases:

  • Unauthorised direct debit
  • Direct debit made after regular deactivation of automatic renewal (at least 7 days before the due date)
  • Incorrect amount or duplicate direct debit
  • Fraudulent use of the bank card

In these cases, the Professional must immediately contact CARTOBIKE support at customer@cartobike.com for rectification.

Article 11 - CARTOBIKE's obligations

11.1. Provision of services

CARTOBIKE undertakes to provide the services described in Article 2 with a level of quality in line with industry standards. 

11.2. Availability

CARTOBIKE shall use all reasonable means to ensure continuous access to the services, but cannot guarantee 100% availability. 

CARTOBIKE reserves the right to temporarily interrupt access for maintenance, updates or security reasons. These interruptions will be notified as far as possible. 

11.3. Professional customer support

CARTOBIKE provides customer support by email atcustomer@cartobike.com with a response time of 48 working hours. 

Article 12 - Obligations of the Professional

The Professional undertakes to:

  • Comply with the Professional Terms and Conditions of Use and the Marketplace Rules
  • Pay the subscription and additional services on the due dates
  • Maintain a valid registered payment method
  • Use the services fairly and in accordance with their intended purpose
  • Not attempt to circumvent technical limitations
  • Inform CARTOBIKE of any changes in your legal situation (cessation of activity, liquidation, etc.) 

Article 13 - Changes to the Services

CARTOBIKE reserves the right to:

  • Develop the features of the services
  • Add or remove additional services
  • Modify rates for new subscriptions and renewals (with 30 days' notice by email) 

Significant changes to services will be notified by email at least 30 days before they come into effect. 

Article 14 - CARTOBIKE's liability

14.1. Obligation of means

CARTOBIKE is bound by an obligation of means with regard to the provision of services. CARTOBIKE does not guarantee any results in terms of visibility, contacts generated or sales made. 

14.2. Limitation of liability

To the extent permitted by law, CARTOBIKE's liability is limited to the total amount of the annual subscription paid by the Professional. 

CARTOBIKE cannot be held liable for any loss of turnover, customers, data or any indirect damage. 

14.3. Force majeure

CARTOBIKE cannot be held liable in the event of non-performance of its obligations resulting from a case of force majeure as defined by Belgian case law. 

Article 15 - Personal Data

The processing of the Professional's personal data is governed by the Privacy Policy available on the Platform. 

Article 16 - Intellectual Property

All elements of the Platform (software, databases, trademarks, logos) remain the exclusive property of CARTOBIKE. 

The subscription does not confer any intellectual property rights on the Professional, but only a personal, non-exclusive and non-transferable right of use. 

Article 17 - Termination by CARTOBIKE

CARTOBIKE may terminate the subscription automatically, without notice or compensation, in the event of:

  • Serious or repeated violation of the T&Cs or GTC
  • Non-payment of the subscription
  • Fraudulent behaviour or unfair commercial practices
  • Damage to the image or interests of CARTOBIKE
  • Judicial liquidation or cessation of activity of the Professional

Termination results in the permanent loss of unused credits and services, without refund.

Article 18 - Transfer of the Contract

The Professional may not assign their subscription or transfer their account to a third party without the prior written consent of CARTOBIKE.
